1.Drafting, vetting, negotiating and finalisation of business agreements such as Customer agreements, Non-Disclosure Agreements, Statement of Work, Technology Agreement, Suppliers Agreement, Master Services Agreement, Vendor Agreement, Third Party Contractor Agreements, Technology Purchase Agreement and such other agreement as required from time to time.
2.Helping the stakeholders in understanding the legal implications related to the negotiation of the agreements, and help them with finalising the same with the other parties.
3.Special skills expected on the clauses relating to Liability, Damages, Indemnity, Non-Compete, Non-Poach, Confidentiality and other general clauses of the Agreement
4.Strong understanding of the GDPR guidelines and experience of having handled the same and documented in the agreements.
5.Ability to co-ordinate with the stakeholders within and outside of the Company.
6.Manage stake holders in terms of work priorities and time allocation, and reasonableness in the response time with them
7.Conduct knowledge sharing activities for Finance/Legal teams within the department and also to other stakeholders
8.To play a key role in systems-building, be able to craft and implement policy, critically review and strengthen current processes and systems.
9.Take regular steps to mitigate the legal risk on the Company.
10.Handling Litigation matters as required from time to time, managing filing timelines, updating status of the on-going matters on a regular basis
i.Recovery Suits/Complaint Cases:
(a) To issue legal notice to the defaulter parties within the period as prescribed by law.
(b) To manage Litigation by ensuring that suits, complaints are filed against the defaulter party.
(c) To review progress of Outstanding Litigation and liaise with the parties, advocates.
(d) To make efforts in the best interest of the Company for recovery of outstanding amount from the parties.
ii.(ii) Other Cases:
(a) To protect the interest of the Company by filing applications, suits and appeals before the tribunals, commissions and courts.
(b) To protect the intellectual property rights of the company by initiating action against the parties.
(c) To manage and optimize use of external counsel.
